1. Name, objects and commencement
1.1 This Scheme shall be called the "[Company Name] Employee Stock Option Scheme [20__]" and shall come into force on [Date the scheme comes into force].
1.2 The objects of the Scheme are to attract, retain, motivate and reward Eligible Employees, and to align their interests with those of the Members of the Company by giving them an opportunity to acquire an equity interest in the Company.
1.3 The Scheme is framed under Section 62(1)(b) of the Companies Act, 2013 read with Rule 12 of the Companies (Share Capital and Debentures) Rules, 2014.
