TERM AND RENEWAL

3.1 Commencement. This Agreement takes effect on [Effective Date of the Agreement] (the “Effective Date”), irrespective of the date on which it is executed by either Party, and continues until terminated or until it expires in accordance with this clause 3.

3.2 Prior performance. [Insert only where performance has already begun] The Parties acknowledge that the Supplier has provided services to the Customer since [Date the Supplier began providing services], and agree that those services are deemed to have been provided under and are governed by this Agreement in all respects, including as to the Charges, the warranties, the indemnities and the limitation of liability. Nothing in this clause requires this Agreement to be dated earlier than the date of its execution.
