The engagement of a person who is neither an employee nor a contractor in the old sense, drafted as a services contract and priced as one, and whose weakest point is always the absence of an express assignment of what the person creates.

PARTNER TERMS OF ENGAGEMENT
[Name of the platform] · Version [Version number of the terms] · Effective [Date the terms take effect]
These Partner Terms of Engagement are a contract between [Name of the aggregator], a company incorporated under the Companies Act 2013, having its registered office at [full address], bearing Corporate Identity Number [CIN] (the “Company”), and the individual who accepts them through the [Name of the application] application (the “Partner”). By tapping “I agree” on the registration screen, the Partner accepts these terms, which take effect as a contract under section 10A of the Information Technology Act 2000. A copy remains available in the application under “My documents” at all times.
1. What this relationship is.
The Company operates a technology platform that connects customers seeking [describe the service] with independent service providers who choose to perform it. The Partner is an independent service provider. He is not an employee, workman, agent or partner of the Company, and nothing in these terms creates a contract of employment.
The Partner decides whether, when, for how long and from where to log in to the application; is free to accept or decline any task; may log off at any time; is free to provide services through any other platform, including a competing platform, and to any customer directly; and is not required to attend any place at any time. The Company does not roster the Partner, does not grant or refuse him leave and does not require exclusivity.
The Partner provides his own [vehicle / equipment / tools], bears his own operating costs including [fuel, maintenance, insurance, data charges, permits and taxes], and is responsible for his own compliance with every law applicable to him.
The Partner is not entitled to salary, wages, bonus, gratuity, provident fund, leave, notice or severance from the Company. This sub-clause does not affect any entitlement the Partner has under the Code on Social Security 2020 or under any State legislation relating to platform-based gig workers, which is dealt with in clause 8.
2. Registration and eligibility. To register, the Partner must be not less than eighteen years of age, must furnish his Permanent Account Number, Aadhaar or other identity proof, bank account particulars, [driving licence, vehicle registration certificate, fitness certificate, permit, pollution certificate, insurance policy / trade licence / certificate of qualification], and must pass the background verification the Company conducts through [agency]. The Partner warrants that all information and documents furnished are true, current and his own, and shall update them within seven days of any change. Registration may be refused or withdrawn where any document is false, expired or not the Partner’s own.
3. Tasks: offer, acceptance and cancellation.
When the Partner is logged in, the application may offer him a task, showing [the pick-up and drop locations, the estimated distance and time, the customer’s requirement and the estimated earning] before he accepts.
The Partner may decline any task without giving a reason. Declining a task is not a breach of these terms and does not of itself attract any penalty or deduction. The Company may take a sustained pattern of acceptance into account in allocating tasks and in computing incentives, and the basis on which it does so is stated in the incentive terms in the application.
Once the Partner accepts a task, a contract for that task arises between him and the customer, and the Company acts as the intermediary that introduced them, collects the payment and remits it. The Partner shall perform the task with due skill and care, within the time indicated, and in accordance with the service standards in Schedule A.
A task may be cancelled by the customer, by the Partner or by the Company. The consequences of cancellation, including any cancellation compensation payable to the Partner and any cancellation charge attributable to him, are as stated in Schedule B, which shall be applied consistently and shall not be varied for an individual Partner.
4. Earnings, deductions and payout.
