CONVERSION OF THE COMPANY FROM A PRIVATE COMPANY INTO A PUBLIC COMPANY AND CONSEQUENTIAL ALTERATION OF THE MEMORANDUM AND ARTICLES OF ASSOCIATION
“RESOLVED THAT pursuant to the provisions of Sections 13, 14, 18 and all other applicable provisions, if any, of the Companies Act, 2013 read with the Companies (Incorporation) Rules, 2014 (including any statutory modification or re-enactment thereof for the time being in force), and subject to such approvals as may be necessary, the Company be and is hereby converted from a private company into a public company, and that the status of the Company be altered accordingly with effect from the date of issue of the fresh certificate of incorporation by the Registrar of Companies.”
