ADOPTION OF A NEW SET OF ARTICLES OF ASSOCIATION
“RESOLVED THAT pursuant to the provisions of Section 14 and all other applicable provisions, if any, of the Companies Act, 2013 and the rules made thereunder (including any statutory modification or re-enactment thereof for the time being in force), the existing Articles of Association of the Company be and are hereby deleted in their entirety and the new set of Articles of Association, a copy whereof has been placed before this meeting and initialled by the Chairman for the purpose of identification, containing Articles [First article number of the new articles] to [Last article number of the new articles], based on Table F of Schedule I to the Companies Act, 2013 with such modifications as are set out therein, be and are hereby approved and adopted as the Articles of Association of the Company in substitution for, and to the exclusion of, the existing Articles of Association.”
