Resolution of partners, admission of a partner and appointment as designated partner

ADMISSION OF [MR./MS. ____] AS A PARTNER AND HIS APPOINTMENT AS A DESIGNATED PARTNER

The partners noted that [Mr./Ms. ____] had applied to be admitted as a partner of the LLP with a contribution of Rs [Incoming partner's contribution (Rs)], that he holds DPIN [Incoming partner's DPIN], and that he had given his consent to act as a designated partner in Form 9 dated [Date of incoming partner's consent in Form 9], a copy of which was placed before the partners. The partners further noted that clause [9.1] of the LLP Agreement requires the unanimous consent of all the partners for the admission of a partner, and that the profit-sharing ratio would require consequential amendment.
