DELEGATION OF POWERS UNDER CLAUSES (d), (e) AND (f) OF SECTION 179(3)
The Chairman informed the Board that in order to enable the day-to-day treasury operations of the Company to be conducted without convening a meeting of the Board for each transaction, it is proposed to delegate the powers to borrow monies, to invest the funds of the Company and to grant loans or give guarantees or provide security in respect of loans, to the extent and on the conditions set out below, as permitted by the proviso to Section 179(3) of the Companies Act, 2013.
