PRECEDENCE AND ENTIRE AGREEMENT
1. Order of precedence.
[Option A — customer-friendly: master agreement always prevails]
This Agreement, the Schedules, each Statement of Work and each purchase order issued under it together constitute the agreement between the Parties. In the event of any conflict, ambiguity or inconsistency between them, they take precedence in the following order: (a) this Agreement (excluding its Schedules); (b) the Schedules, in numerical order; (c) the Statement of Work; and (d) any purchase order. No Statement of Work, purchase order, portal term, click-through term, invoice term or delivery note issued by either Party varies this Agreement, and any term in such a document which is inconsistent with this Agreement is of no effect, whether or not signed.
