Electronic execution and counterparts clause set

ELECTRONIC EXECUTION, COUNTERPARTS AND DELIVERY

1. Counterparts. This Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute an original of this Agreement, and all the counterparts together shall constitute one and the same instrument. This Agreement shall not take effect until each Party has executed at least one counterpart.

2. Electronic execution. Each Party agrees that this Agreement and any amendment, notice, waiver, consent or other document contemplated by it may be executed by electronic signature, being (a) a digital signature affixed by means of a digital signature certificate issued by a Certifying Authority licensed under the Information Technology Act 2000, or (b) an electronic signature effected through an electronic signature service provider using the Aadhaar electronic know-your-customer authentication technique specified in the Second Schedule to that Act. A signature applied by any other means, including a scanned image of a manuscript signature or a typed or drawn mark applied through a document workflow platform, shall not constitute an electronic signature for the purposes of this clause.
