MANAGED IT AND CYBERSECURITY SERVICES AGREEMENT

THIS AGREEMENT is made at [Place of execution] on [Date of this agreement].

Between

1. [Name of the customer], a [company / limited liability partnership] incorporated or registered under the [Companies Act 2013 / Limited Liability Partnership Act 2008], having its registered office at [Registered office of the customer], bearing [CIN or LLPIN of the customer], PAN [PAN of the customer] and GSTIN [GSTIN of the customer], acting through [Name of the customer's signatory], [Designation of the customer's signatory], authorised by a resolution dated [Date of the customer's authorising resolution] (the “Customer”), of the ONE PART;

And

2. [Name of the service provider], a [company / limited liability partnership] incorporated or registered under the [Companies Act 2013 / Limited Liability Partnership Act 2008], having its registered office at [Registered office of the service provider], bearing [CIN or LLPIN of the service provider], PAN [PAN of the service provider] and GSTIN [GSTIN of the service provider], acting through [Name of the service provider's signatory], [Designation of the service provider's signatory], authorised by a resolution dated [Date of the service provider's authorising resolution] (the “Service Provider”), of the OTHER PART.

Each expression includes the Party's successors and permitted assigns. The Customer and the Service Provider are each a “Party” and together the “Parties”.

Whereas

A. The Customer wishes to engage a managed service provider to operate, monitor and secure its information technology environment.

B. The Service Provider operates a service desk and network and security operations centres, and has agreed to provide the services in Schedule 1 on the terms below, which also allocate responsibility for cyber security incidents, logs and reporting.
