AI-ENABLED SERVICES AGREEMENT

2. [Name of the provider], a [company / limited liability partnership] incorporated or registered under the [Companies Act 2013 / Limited Liability Partnership Act 2008], having its registered office at [Registered office of the provider], bearing [CIN or LLPIN of the provider], PAN [PAN of the provider] and GSTIN [GSTIN of the provider], acting through [Name of the provider's signatory], [Designation of the provider's signatory], authorised by a resolution dated [Date of the provider's authorising resolution] (the “Provider”), of the OTHER PART.

Each expression includes the Party's successors and permitted assigns. The Customer and the Provider are each a “Party” and together the “Parties”.

Whereas

A. The Provider operates the services described in Schedule 1, which include features using machine learning and generative artificial intelligence models, some its own and some used under licence from third-party model providers.

B. The Customer wishes to use those services for the purposes in Schedule 1, on terms that disclose the models used, protect its data from use in training, and support its obligations on personal data, cyber security and synthetic content.

Now it is agreed as follows
